1. ABOUT THESE TERMS

These Terms of Service ("Terms") are a binding agreement between you and FLEXSELL INTERNATIONAL W.L.L, CR 149517-1, Flat 115, Building 1527, Road 2004, Block 2123, Hidd, Kingdom of Bahrain ("FlexSell", "we", "us", or "our"). They govern the FlexSell mobile application, website, APIs, marketplace, profiles, product listings, reels, live streams, chat, comments, payments, delivery support, and related services (collectively, the "Service").

By accepting these Terms or using an account, including a guest profile, you agree to these Terms, the Privacy Policy, and the Community Guidelines. The same agreement applies if you later register, buy, or become a Seller through that account. If you do not agree, do not use the Service.

FlexSell records the accepted version and may require renewed acceptance when a material change takes effect. The Service currently supports commerce and Seller operations in the Kingdom of Bahrain. Access from another country does not mean that FlexSell offers transactions, delivery, or Seller services there.

2. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old and legally able to enter contracts to create or use a guest or registered account, publish content, communicate with users, buy, sell, or host a live stream. Do not allow a minor or another person to use your account. If you act for a company or other legal person, you confirm that you have authority to bind it.

You must provide accurate information and keep it current. You are responsible for activity performed through your account except to the extent caused by FlexSell's breach of law or security obligations. Protect your device, one-time codes, and session. Notify info@flexsell.net promptly if you suspect unauthorized use.

A guest profile is an account with a generated identifier and username. Guest users may access social and content features offered in the current release, but they remain subject to these Terms, the Community Guidelines, moderation, and the same 18-plus requirement. Some transactional or Seller features require phone verification, additional information, or approval.

You may not impersonate another person, transfer or sell an account, create duplicate accounts to evade restrictions, or use false information. FlexSell may request proportionate information to verify account ownership, Seller status, authority, fraud risk, or legal compliance.

3. FLEXSELL'S MARKETPLACE ROLE

FlexSell provides technology that lets users discover, display, discuss, buy, and sell physical products through profiles, stores, listings, reels, live streams, chat, and related tools. Digital goods, virtual items, software licences, services, and other non-physical items may not be listed or sold unless FlexSell expressly introduces and publishes terms for that category.

Unless a listing expressly identifies FlexSell as the Seller, the independent Seller named on the listing is the Seller of record and contracts directly with the buyer. The Seller, not FlexSell, is responsible for the product, description, price, stock, legality, conformity, warranties, fulfilment, tax obligations, returns, refunds, and after-sales duties. FlexSell may facilitate checkout, payment, communications, moderation, delivery information, and dispute support without becoming the Seller, buyer, carrier, or agent of either user.

FlexSell does not take possession of products and does not promise escrow, guaranteed authenticity, guaranteed delivery, or guaranteed recovery. Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded, including mandatory Bahrain consumer-protection rights.

4. SELLER APPROVAL AND SUBSCRIPTIONS

Seller access is not automatic. An applicant submits contact and business information in the app, and FlexSell may conduct compliance review outside the app. Approval may require a valid commercial registration, business address, contact details, identity or authority evidence, and paper due-diligence records. Approval is not government licensing, endorsement, or a guarantee of sales.

Approved Sellers may enter a separate business subscription arrangement with FlexSell outside the app and pay a recurring platform-service fee by invoice, bank transfer, or another agreed off-app method. The iOS and Android apps do not sell these subscriptions or provide an external subscription checkout link. Basic provides merchant capabilities such as publishing physical-product listings, inventory management, reels, and live selling. Pro may additionally provide scheduling and advanced Seller analytics. A subscription does not buy advertising, promoted placement, boosts, guaranteed public visibility, ranking, followers, views, or sales.

FlexSell activates and records the approved tier and dates administratively. Subscription expiry, non-payment, compliance failure, or removal of Seller access may stop future Seller capabilities, but does not end duties relating to prior listings, orders, payments, returns, taxes, disputes, records, or legal claims. The price, billing period, renewal, cancellation, taxes, and any refund terms must be disclosed in the applicable off-app Seller schedule before payment.

5. LISTINGS AND PROHIBITED PRODUCTS

A Seller must ensure each listing is truthful, clear, current, and complete, including the product's identity, condition, material characteristics, variants, quantity, total price, stock, delivery terms, warnings, warranty information, and return terms required by law. Images and videos must show the actual product or be clearly representative. Sellers must have the product, authority to sell it, and every licence or approval required for it.

Users must not list, offer, promote, or sell:

FlexSell may reject, remove, or restrict any listing presenting legal, payment-network, consumer, safety, rights, reputational, or platform-integrity risk. Sellers must not manipulate prices, stock, reviews, engagement, search placement, orders, or transaction history, or move a transaction off-platform to evade disclosed fees or safety controls.

6. ORDERS AND PAYMENT

A displayed product is an invitation to place an order, not a guarantee of stock or acceptance. A buyer must review the product, Seller, variant, quantity, price, address, delivery charge, and other disclosed terms before paying. An order becomes binding between buyer and Seller when the Service confirms the paid order, subject to payment verification, stock, fraud controls, and mandatory cancellation rights.

Buyer payments for physical goods are processed through Tap Payments and its banking, card, Benefit, wallet, and authentication partners. FlexSell does not ordinarily receive or store full payment-card numbers. Saved-card features use processor tokens. Payment may be authenticated, declined, delayed, reversed, or restricted by the provider or issuer.

FlexSell may charge a Seller a transaction or service fee only when the amount or calculation is disclosed before the relevant transaction or in the applicable Seller schedule. Sellers remain responsible for their taxes, duties, invoices, and sales records. Buyers remain responsible for charges clearly allocated to them by law or at checkout.

We may reject, pause, cancel, refund, reverse, or void an order where payment fails, stock is unavailable, information is clearly erroneous, fraud or illegality is suspected, a technical duplication occurs, or the transaction cannot lawfully be completed. The affected user will be informed where reasonably possible.

7. DELIVERY, RETURNS, AND DISPUTES

The Seller is responsible for packing, dispatching, and supplying the product as described. Delivery estimates are estimates unless applicable law or an express Seller commitment makes them binding. Buyers must provide an accurate and accessible Bahrain delivery address and reasonably cooperate with delivery.

Each Seller must clearly disclose its cancellation, return, refund, warranty, and shipping terms and comply with them. Those terms cannot reduce mandatory consumer rights, including remedies for defective, unsafe, counterfeit, materially misdescribed, or undelivered goods. Refund timing depends on approval, Tap Payments, the payment method, and the issuing institution.

FlexSell may request evidence, facilitate communication, restrict an account, or take platform action, but does not guarantee a particular result and does not replace the Seller's legal duties, a court, a regulator, or a payment-provider dispute process. Users must not abuse returns, submit false evidence, return a different item, initiate a dishonest chargeback, or seek duplicate recovery.

8. LIVE STREAMS AND SOCIAL COMMERCE

Live streams and reels are communication and product-discovery features. Publishers must present products accurately, identify material commercial claims, and avoid fictitious scarcity, misleading countdowns, or deceptive demonstrations. A comment, reaction, message, or other live interaction is not a purchase. A sale occurs only after checkout and confirmation of a paid order.

Users must not record, rebroadcast, scrape, or commercially exploit another person's live stream without authorization, disclose private information, or use live features for dangerous, unlawful, abusive, or deceptive conduct. FlexSell may end, restrict, preserve, or review a stream to address safety, rights, legal, or technical concerns.

9. USER CONTENT AND LICENCE

"User Content" includes usernames, profiles, stores, listings, images, video, audio, reels, live streams, chat, comments, reviews where available, reports, and other material submitted through the Service. You retain ownership of your User Content and remain responsible for it.

You grant FlexSell a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, transcode, adapt for technical formatting, distribute, communicate, display, moderate, and make User Content available as needed to operate, secure, improve, and promote the Service. This licence lasts while content is available through the Service and afterwards only for backups, legal evidence, previously authorized promotional materials, and other uses permitted by law.

You confirm that you own or have permission to use all content you submit, including products, music, recordings, trademarks, images, and the likeness or voice of each person shown. Do not post identity documents, payment credentials, confidential information, or personal information that you do not have the right to disclose.

10. COMMUNITY SAFETY AND PROHIBITED CONDUCT

The Community Guidelines form part of these Terms and apply to guest users, registered users, buyers, and Sellers. FlexSell has no tolerance for objectionable content or abusive users. You must not use the Service for illegal, fraudulent, deceptive, hateful, harassing, sexually exploitative, seriously violent, extremist, self-harm-promoting, infringing, spam, scam, phishing, malware, doxxing, stalking, artificial-engagement, or unauthorized-advertising activity.

Users can report content or accounts and block other users through available controls. Reports must be honest. Blocking limits supported interactions but cannot guarantee that all references or previously shared content disappear. For urgent danger, contact local emergency services or law enforcement; FlexSell is not an emergency service.

11. MODERATION AND ENFORCEMENT

FlexSell may review, filter, label, reduce distribution of, remove, preserve, or disclose User Content, listings, streams, or account information when reasonably necessary to enforce these Terms, protect users, investigate fraud or security incidents, comply with law, or respond to rights complaints. FlexSell is not required to pre-screen every submission and cannot guarantee that all objectionable content will be detected immediately.

Depending on severity, history, and risk, FlexSell may warn a user; remove content; restrict comments, messaging, streaming, buying, selling, payment, or discovery; cancel affected transactions; suspend or terminate an account; preserve evidence; or notify a payment provider, rights holder, regulator, or law-enforcement authority where lawful. Automated filters and user reports can be incomplete or mistaken. Contact info@flexsell.net to request review of a material enforcement decision.

12. RANKING AND ANALYTICS

Feeds, search, and Seller analytics may use relevance, recency, availability, category, engagement, relationships, quality, safety, and performance signals. Results may change, contain errors, or be personalized. FlexSell does not guarantee reach, ranking, followers, views, sales, or revenue. Users must not buy, exchange, or manipulate engagement or reviews.

13. INTELLECTUAL PROPERTY AND COMPLAINTS

The Service software, branding, interface, and FlexSell-created materials are owned by or licensed to FlexSell and protected by applicable law. Except as permitted by law, you may not copy, sell, sublicense, reverse engineer, scrape, overload, bypass, or create a competing service from them.

A rights complaint should be sent to info@flexsell.net and identify the claimant, protected work or right, challenged material and location, requested action, contact details, and a good-faith statement of accuracy and authority. FlexSell may request verification, forward relevant complaint details to the affected user, remove material, and restrict repeat infringers.

14. PRIVACY, TRACKING, AND COMMUNICATIONS

The Privacy Policy and Cookie and Tracking Notice explain how FlexSell processes personal data, device identifiers, analytics, and web storage. Acceptance of these Terms is not consent to optional marketing or tracking that legally requires separate consent.

You agree to receive service communications needed for account security, orders, payments, safety, support, and legal notices. Promotional communications remain subject to your notification choices and applicable law. On iOS, advertising-identifier collection for attribution is enabled only if you grant Apple's tracking permission.

15. THIRD-PARTY SERVICES

The Service relies on providers including cloud hosting, Firebase, Sentry, LiveKit, Tap Payments, maps, messaging, app stores, attribution, and delivery services. Their services may have separate terms and privacy notices. FlexSell remains responsible for its own legal duties and vendor selection but does not control an independent provider's network, bank decision, store policy, or outage.

Links or integrations do not imply endorsement. Do not use an external service or link to evade these Terms, payment controls, or marketplace protections.

16. AVAILABILITY AND CHANGES

The Service may experience maintenance, delay, data loss, interruption, inaccurate availability, or incompatibility. FlexSell does not promise uninterrupted operation or permanent availability of any feature. We may add, modify, suspend, or retire features for legal, safety, commercial, or technical reasons and will provide notice where required.

Pre-release or beta features may be incomplete and may change or stop without notice. A feature is governed by these Terms only when it is actually made available; references in source code, testing interfaces, or future plans do not make it an offered service.

17. ACCOUNT DEACTIVATION AND TERMINATION

You may stop using the Service and use the available account-deactivation action on supported mobile platforms. That action anonymizes specified profile and contact fields, deactivates active product listings, removes comments and the current notification token, records the request, and clears the local session. It does not automatically erase orders, payment references, disputes, chat, media objects, backups, security logs, or processor records.

For a cross-system access, correction, blocking, or erasure review, submit a verified request through https://flexsell.net/delete-account.html. FlexSell may retain and restrict records needed for law, accounting, transactions, disputes, fraud prevention, security, or third-party rights.

FlexSell may restrict or terminate access for a material or repeated breach, non-payment, fraud, illegal activity, user safety, infringement, legal compliance, security, or risk to the Service. Where appropriate and lawful, we will provide notice and an opportunity to seek review. Transaction, payment, content, liability, dispute, and lawful-retention provisions survive termination.

18. WARRANTIES AND LIABILITY

Nothing in these Terms excludes a warranty, remedy, or liability that cannot be excluded under applicable law. Subject to that rule, the Service is provided on an "as available" basis. FlexSell does not guarantee that User Content, Seller statements, products, delivery estimates, rankings, or third-party services are accurate, safe, available, or suitable for a particular purpose. Seller approval and account availability are not endorsements.

Each party remains responsible for loss caused by its breach, negligence, fraud, wilful misconduct, or violation of law to the extent determined under applicable law. To the maximum extent permitted by law, FlexSell is not liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, opportunity, goodwill, or data, arising from an independent user's conduct, a Seller's product, a carrier, payment-provider decision, unauthorized off-platform transaction, or event beyond FlexSell's reasonable control.

19. BUSINESS-USER INDEMNITY

If you use the Service as a Seller or for business purposes, you will indemnify FlexSell against third-party claims, penalties, and reasonable costs arising from your unlawful product, misleading listing, tax or licensing failure, infringement, User Content, or material breach of these Terms, except to the extent caused by FlexSell. This clause does not impose an indemnity on a consumer where prohibited by law.

20. CHANGES, GOVERNING LAW, AND GENERAL TERMS

We may update these Terms for legal, safety, technical, operational, or feature changes. The current version and effective date will be published. We will provide reasonable notice of material changes and request renewed acceptance where required. Changes do not retroactively remove accrued rights or mandatory remedies.

These Terms are governed by the laws of the Kingdom of Bahrain, without excluding mandatory consumer rights. Contact info@flexsell.net first so the parties can attempt a good-faith resolution. If unresolved, the competent courts of the Kingdom of Bahrain have jurisdiction, subject to any mandatory right to use a regulator, consumer authority, payment dispute process, or other court.

If a provision is invalid, it will be limited to the minimum necessary and the remainder will continue. A failure to enforce a provision is not a waiver. You may not assign your account or agreement without consent. FlexSell may assign these Terms as part of a merger, restructuring, financing, or transfer of the Service, subject to applicable notice and data-protection duties.

These Terms, the Privacy Policy, Community Guidelines, Cookie and Tracking Notice, Seller's disclosed listing and return terms, and any specific fee schedule disclosed before payment form the agreement relevant to that activity. Mandatory law prevails over conflicting terms.
